Partner Program
Luvaminos Partner Program Agreement
Before you read it all
The short version
- You're responsible for everything you publish about Luvaminos, and you cover our costs if your content causes a claim.
- Our products are for laboratory research use only, not for use in humans or animals. Say you earn a commission wherever your code, link or review of us appears. No claims about what products do, and no instructions. These rules apply on every channel, including your personal accounts.
- You earn up to 25% of a new customer's first order, at the rate in your approval email and your dashboard, and 10% of a returning customer's, on the product price paid, never shipping or tax. Commission is held 14 days.
- Refunds, chargebacks, fraud, self-referrals, orders that don't qualify, and our mistakes come back out of your commission, even after you have been paid. Each one shows in your dashboard with its reason.
- Either of us can end this at any time. If it ends, we pay your cleared balance, whatever the amount, unless it ended for fraud or a serious breach.
- Disputes go to individual arbitration, not court or class actions. You can opt out within 30 days by emailing support@luvaminos.com.
A plain-English guide only, not part of the Agreement. The full text below governs.
Version: 2026-10-16.2 · Effective: October 16, 2026
This Agreement is between Luvaminos LLC, a New Mexico limited liability company ("Luvaminos", "we", "us"), and the person or business accepting it ("you").
Thank you for partnering with us. This one Agreement covers every kind of partner: websites, social media creators, groups and communities, newsletters, podcasts and video channels. We have tried to keep it fair and as plain as a contract can be. If anything is unclear, email support@luvaminos.com and ask us before you sign.
A few parts of any agreement like this have to stand out, so here they are up front:
IMPORTANT: PLEASE READ SECTION 24. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU GIVE UP YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. YOU CAN OPT OUT OF ALL OF SECTION 24'S ARBITRATION, JURY AND CLASS WAIVERS WITHIN 30 DAYS AFTER YOU FIRST SIGN. SECTIONS 19 TO 21 LIMIT OUR LIABILITY AND MAKE YOU RESPONSIBLE FOR CLAIMS CAUSED BY YOUR CONTENT.
How to read this. Each section starts with an In short line. Those lines are a friendly guide only. They are not part of the Agreement and do not change it. The full text of each section governs.
1. Accepting and signing this Agreement
In short: you sign by ticking the box and pressing the button that signs it. That counts just like signing on paper, so please take your time and read it first.
1.1 How you accept. You accept this Agreement by ticking the box labelled "I agree to the Partner Program Agreement" and selecting the button that signs it while signed in to your Luvaminos account. Doing so is your electronic signature. It has the same legal effect as a handwritten signature.
1.2 You had the chance to read it. Before signing, you could open this Agreement and the Content Rules through clearly marked links, take as long as you liked, save or print them, and ask us questions. You are bound by this Agreement whether or not you read every word of it, and you confirm that you understand it or had the chance to get advice before signing.
1.3 Consent to electronic records. Under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and New Mexico's Uniform Electronic Transactions Act, you consent to both of the following:
- (a) signing this Agreement electronically;
- (b) receiving this Agreement, any changes to it, notices and statements electronically, by email to your account address or in your dashboard.
You can print or save any of these. You need a device with internet access, a current web browser and an email account. You may withdraw this consent by emailing us under §26.7; withdrawing it ends your participation under §22. Withdrawing consent does not affect anything already signed or delivered electronically. You may ask for a paper copy of any tax form at no charge. Before sending tax forms electronically, we will ask for any separate consent the tax rules require.
1.4 What we keep. We keep an electronic record of your signature, including:
- the version and exact text you accepted;
- how the signing screen looked;
- the date and time;
- your account, email, the sign-in used, and the name on your account;
- the statements you confirmed;
- technical details such as IP address and browser.
That record is proof of your agreement. We email you a copy of what you signed, and you can view it in your dashboard at any time.
1.5 What this Agreement includes. This Agreement includes the following, which you accepted when you signed:
- (a) the Content Rules shown in your dashboard;
- (b) your Deal Terms, meaning your commission rates and the customer discount on your code, shown in your dashboard, as updated under §23;
- (c) any custom terms we agree with you under §26.13.
If the Content Rules or Deal Terms conflict with this page, this page controls. The Content Rules may add stricter limits on content. Custom terms control only where §26.13 says they do.
1.6 Approval is personal. You may join only after we approve your application or invite you. An approval or invitation is for the person or business it was given to. It can only be accepted from the Luvaminos account we approved or invited, and it cannot be transferred. If someone other than that person or business accepts it, we may end that participation immediately.
2. Eligibility
In short: you need to be 21 or older, somewhere we can lawfully pay you, on one account, and straight with us. A business can sign through a person it authorises.
To join and stay in the Program, you must:
- (a) be at least 21 years old and legally able to sign contracts (for a business, the person who signs for it);
- (b) be based in the United States, or in another country where we can lawfully pay you;
- (c) hold a Luvaminos customer account in your own name (for a business, in the name of the person who signs for it);
- (d) have only one partner account. A second account, or one set up in someone else's name for you, earns nothing, and we may close it and reverse what it earned under §8;
- (e) give accurate, complete information and keep it current;
- (f) not be named on any US government sanctions list;
- (g) not have been removed from the Program before, unless we agree in writing;
- (h) not be barred from this kind of arrangement by your employer, or by any law or ethics rule that applies to you, such as rules for government employees;
- (i) not have been the subject of any government action, or of an account ban by a platform, concerning advertising, endorsements or regulated products, unless you told us in writing before signing.
If you sign for a business, the business is the party to this Agreement and "you" means the business. The person who signs confirms that they are authorised to bind it. That person does not personally guarantee the business's obligations under this Agreement.
3. The relationship
In short: you're an independent partner promoting us on your own channels, in your own way. You're not our employee, and you don't speak for us.
3.1 Independent contractor. You are an independent contractor. Nothing in this Agreement makes you our employee, agent, partner, joint venturer, franchisee or legal representative. You decide when, where and how you create content, within this Agreement. Some requirements here exist to comply with law, platform rules or payment-partner requirements, or to protect our brand. Those are standards for the content you deliver, not control over how, when or where you work.
3.2 No authority. You cannot make any statement, promise, warranty or commitment on our behalf, or bind us to anything, and you will not suggest that you can, or present yourself as our employee, staff or official account. You will not take orders, handle refunds, returns or complaints, or answer questions about using a product, for us. Instead, send people to luvaminos.com, where our team can help them.
3.3 Your costs. You pay your own expenses, equipment, software, insurance, taxes and fees. You are not entitled to any employee benefit.
3.4 Non-exclusive. Either of us may work with others. Nothing here promises you any minimum number of sales, customers or payments.
3.5 People who work for you. You are responsible for anyone who creates, edits, posts or manages content or accounts for you, including managers, agencies, editors, moderators and assistants, as if their acts were your own. No one else may sign this Agreement, use your Luvaminos account or dashboard, or request payouts for you, so please don't share your Luvaminos sign-in.
4. Your deal, your code and your links
In short: you get a personal code and link to share on the channels we approved for you, in a group you run, and in personal messages. We may change or switch them off when we need to.
4.1 What you receive. When your account is active, we give you:
- (a) a personal discount code;
- (b) a link that applies your code on our store.
These, together with your Deal Terms, appear in your dashboard. Your code's discount is set when we approve you and is shown in your dashboard. Unless your dashboard shows otherwise, your code gives shoppers 5% off. We may change it like any store price (§23.3).
4.2 Personal and non-transferable. Your code and links are for you to share with your own audience under this Agreement. You may not sell, transfer, lend or give them to anyone else to promote, and you may not change them or add to them.
4.3 We manage codes and links. We may do any of the following at any time, without owing you anything for it:
- create, change, rename, pause or deactivate your code or links;
- change the customer discount on your code;
- stop honouring a code that has been shared somewhere this Agreement does not allow, and give you a new one in its place (§13.3).
If we change your code, we may, but do not have to, make old codes or links point to the new one. We cannot promise that any link, page or domain will always be available.
4.4 Your approved channels. A "channel" is any place you publish or share content, such as a website, a social media account, a group or community, a newsletter, a podcast or a video channel. You may share your code and link only on the channels we approved when we approved or invited you, and on any other channel we approve in writing. If a channel we approved compares prices or lists discount codes for many stores, your code and link may appear there too. Sharing them anywhere else needs our written approval first. The one exception is a personal message under §4.7. To add a channel, just email us.
4.5 One code per order. A customer's order can carry only one discount code. The customer discount on your code applies under our store's normal pricing rules, which we may change.
4.6 Groups and communities. If you run or moderate a group, community, server or chat that we approved as one of your channels, you may share your code and link there, as long as you:
- (a) follow the group's own rules and the platform's rules;
- (b) disclose your commission in the same post or message as your code or link (§12.1);
- (c) never make buying from us, or using your code, a condition of joining or staying in the group;
- (d) never present the group, or yourself, as run by or speaking for Luvaminos (§3.2);
- (e) hide or remove any post or comment in the group that breaks §11.1 about Luvaminos or our products, once you see it or we point it out. We don't expect you to read every post, only to act on what you know about.
A group or community someone else runs is a separate channel: it needs our approval under §4.4, and its own rules must allow you to share your code there.
4.7 Personal messages. You may share your code or link in a one-to-one message, or a small private chat, with someone who asked for it or who you already know, as long as you disclose your commission in that message (§12.1). This does not allow bulk, automated or unsolicited messages (§13.1), and a group or chat you run is covered by §4.6.
5. When a sale earns commission
In short: you earn on every paid order that carries your code, and on the first order placed within 30 days after a visit through your link. Your own orders, orders by people you live with, and orders that break the rules don't earn.
5.1 What counts. An order is a "Qualifying Order" only if all of the following are true:
- (a) it is credited to you: either your code is on the order when it is placed, whether the customer typed it or your link applied it, or it is the first order placed in the same browser within 30 days after a visit through your link;
- (b) it is placed by a real customer who is not you, and not a person or account you control;
- (c) it is fully paid, and not cancelled, refunded, charged back or reversed;
- (d) it was not obtained in breach of this Agreement.
Code credit and link credit. Your code credits every order it is on. A visit through your link credits only the first order placed in that browser in the 30 days after the visit, and is then used up. A later visit through your link starts a new 30 days. If another partner's code is on the order, that code takes the credit. If the shopper visited through more than one partner's link, the most recent visit counts. If the order carries one of our own promotional codes instead of yours, you keep the credit and your full rate (§9.2).
5.2 What doesn't earn.
- (a) Visits alone. A visit through your link earns nothing unless it leads to an order credited to you under §5.1(a).
- (b) Later orders without your code. There is no lifetime commission. After a visit is used up, a later order from the same customer earns only if it carries your code or follows a new visit through your link.
- (c) Your own orders. You are welcome to use your own code on your own orders and get the customer discount, but those orders earn no commission. The same applies to orders placed by, for, or with money from you, your household, or any account, card, address or person you control or act with.
- (d) Internal and test orders, replacement orders, and orders placed with a code we give for customer service or to our own staff.
- (e) Orders we reasonably believe are fraudulent, fake, incentivised by you, placed to be refunded, placed with a stolen payment method, or linked to a banned promotion method under §13.
5.3 Detection is not a promise. We may not catch every order that falls under §5.2 when it happens. When we find one, we may reverse it under §8.
6. Commission, the hold, and our records
In short: your first-order rate is up to 25%, set when we approve you and shown in your approval email and your dashboard. A returning customer's order earns 10%. Both are on the product price paid after every discount. Commission is held 14 days, and our records count unless you show they're wrong.
6.1 Commission. Commission accrues on each Qualifying Order when it is placed. If the order is the customer's first paid order with us, the rate is your first-order rate, which is up to 25%. We set it when we approve you, and it is shown in your approval email and your dashboard. If the customer has a paid order with us from before, the rate is 10%, unless your dashboard shows a different rate for you. If we lower your commission rates, the lower rate applies only to orders placed 30 days or more after we notify you in writing, and a raise applies at once (§23). It becomes payable only as §7 and §22 provide. It is calculated on the product price the customer paid after every discount, including any code's discount, deal and volume discounts, and payment-method discounts. The part of an order paid with store credit we issued does not count. Commission is never paid on shipping, shipping protection, taxes or other charges.
6.2 The hold. Each commission is held for 14 days, so cancellations and refunds can settle, and then becomes available automatically. If we hold an order for review before it ships, the 14 days start when we release the order. Commission on an order with an open card dispute is not payable until the dispute is resolved. Commission can still be reversed after the hold under §8.
6.3 No promise of earnings. We can't promise you any level of sales, commission or income. We run a store, so things change, and at any time, without owing you for it, we may:
- change products, prices, stock, promotions or the store;
- stop selling any product;
- run other codes or offers.
Any of these may affect your earnings.
6.4 Our records. Our records of link visits, orders, discounts, commissions, reversals and payouts are presumed correct unless you show under §6.5 that they are wrong. Dashboard figures, including link visit counts, are there to help you. They may be delayed, incomplete or wrong, and they may not count every visit.
6.5 Disputing a record. If you think a commission, reversal, set-off or payout is wrong, tell us in writing, with the details, within 90 days after the latest of:
- the order date;
- the date the commission, reversal or set-off first appears in your dashboard;
- the payout date.
We will look into it and tell you what we find. After that 90 days, the record is final and you waive any claim about it.
7. Payouts
In short: once $50 is available, request a payout. We send it within 3 business days by a method your dashboard offers: crypto (USDT on Tron or USDC on Solana), Zelle, or PayPal when we offer it. Please double-check your payout details.
7.1 Requesting. When your available balance is at least $50, you may request a payout from your dashboard. We may also pay an available balance of $50 or more without a request. We pay the US dollar amount by the method you choose from those your dashboard offers, to the payout details on file. The methods are USDT on the Tron network, USDC on the Solana network, Zelle and, when we offer it, PayPal. We may stop offering a method, or add one, at any time. If we stop offering the method you chose, we will ask you to choose another, and §7.5 applies to the change. A PayPal payout is sent as a business payment, not as a payment to friends or family. Amounts below $50 stay in your balance, except as §22.5 provides.
7.2 Conditions. You can request a payout, and we have to pay one, only once all of the following are true:
- (a) you have signed the current version of this Agreement;
- (b) your payout details are on file;
- (c) you are not suspended and no investigation under §22.2 is open;
- (d) you have given us any tax form §18 requires for that payout, and any identity details we asked for under §7.6.
7.3 Timing. We will send a payout within 3 business days after a valid request that meets §7.2. Bank, network or payment-service limits may require us to split a payout across several days. If we turn a request down, we will tell you why, and you may make a new request 7 days later.
7.4 Net amount. Each payout is your available commission minus any reversals, negative balance, or amounts we may set off under §8.
7.5 Your payout details. Please keep your payout details accurate, including any wallet address and the network it is on. That is your responsibility.
- Changes: when payout details are added or changed, we email you, any open payout request is cancelled, and you can request again 3 days later. This protects you if someone else gets into your account.
- Final payment: a payment sent to the payout details on file is final and counts as full payment. A crypto payment cannot be reversed once it is sent.
We are not responsible for either of the following, unless it happened because of a breach of our own systems or our negligence:
- a wrong, outdated or mistyped handle, name, email or wallet address you gave us, or a wallet that cannot receive the coin or network you chose;
- a payment someone else receives because your email, phone, bank or Luvaminos account was compromised or changed before you told us in writing.
7.6 Verification. We may ask you to confirm your identity, for example that the name on your payout account matches your legal name or your business's name, and hold payouts until you do.
7.7 Undeliverable payments. If a payout cannot be delivered and you do not give us working payout details within 12 months after we ask, we will handle the amount as the unclaimed-property law that applies requires.
7.8 Crypto payouts. If you choose USDT or USDC:
- we send one token for each US dollar owed, and we may take the network fee out of the amount we send, and show it in your dashboard;
- the wallet must be yours, or your business's, and under your control. We do not pay to a wallet that belongs to anyone else;
- we may refuse to send to, or stop using, any wallet address that appears on a government sanctions list, that the coin's issuer has frozen, or that we reasonably believe is linked to unlawful activity. We will ask you for another payout method, and §7.5 applies to the change;
- once sent, the payment is final and counts as full payment. We are not responsible if the coin's issuer, a network or an exchange later freezes, delays or loses it, or if the coin's value or the network changes;
- you pay any fee your wallet, exchange, bank or PayPal charges you to receive, convert or withdraw.
8. Reversals, clawback and set-off
In short: if an order is refunded, charged back, fraudulent, a self-referral, doesn't qualify, or was credited to you by mistake, its commission comes back off, even after you've been paid. You'll see each one in your dashboard with its reason. A balance below zero is repaid from later commission, or by you if it stays below zero.
8.1 Reversals. We reverse commission on an order, in whole or in part, only for one of these reasons:
- refund: the order is cancelled or refunded;
- chargeback: the payment is charged back, disputed, recalled or returned, or otherwise fails;
- fraud: the order is one §5.2(e) describes, including an order linked to a banned method under §13;
- self-referral: the order is one §5.2(c) describes;
- not qualifying: the order does not meet §5.1, or falls under §5.2(a), (b) or (d);
- error: we credited it to you by mistake, more than once, at the wrong rate, on the wrong amount, or when it belonged to another partner under §5.1.
A partial refund reverses in proportion to the product price refunded. A refund of shipping, shipping protection or tax alone reverses nothing. Every reversal appears in your dashboard with its reason. This applies whether the commission is held, available or already paid. Commission on orders connected to a serious breach is dealt with under §22.7, not here.
8.2 Paid commission. For commission already paid to you:
- refund: the reversal applies if the refund happens within 120 days after the order date;
- chargeback, fraud or self-referral: there is no time limit;
- not qualifying or error: the reversal applies if we find it within 12 months after the order date.
8.3 How we collect. A reversal of commission already paid to you comes off your next payout, and off the payouts after it if one is not enough. While your balance is below zero, you cannot request a payout. If your balance stays below zero for 90 days, or you leave the Program owing any amount, you must repay it within 30 days after we ask, by Zelle, PayPal or another method we accept. What you owe is a debt to us. It survives the end of this Agreement.
8.4 Set-off. We may deduct from anything we owe you any amount you owe us under this Agreement. That includes:
- reversals and overpayments;
- amounts under §19 that are agreed or decided in arbitration or court;
- fees, fines, penalties or chargeback costs a third party actually charged us because of your breach.
8.5 Overpayments. If we pay you more than you earned for any reason, the extra is not yours. We may deduct it or ask you to return it.
9. Our promises to you
In short: your code comes first, our own promotions never take your credit or lower your rate, we don't poach the shoppers you send us, we don't buy search ads on your name, and we never cut commission you've already earned.
9.1 Your code comes first. When your code is on an order, the order is credited to you, whatever link, email or ad the shopper saw before.
9.2 Our promotions never take your credit. Our own promotional codes, sales and offers never take the credit for an order from you and never lower your rate. If an order credited to you under §5.1(a) carries one of our codes, you keep the credit at your full rate, on the product price the shopper paid (§6.1).
9.3 No poaching. We will not single out shoppers you sent us, during the 30 days after their visit, with offers meant to move their order away from your credit.
9.4 No paid search on your name. We will not bid on your name, your brand or the name of a channel we approved for you as a keyword in paid search.
9.5 No retroactive cuts. A change to your rates or to this Agreement never reduces commission already earned on orders placed before the change takes effect (§23.5).
9.6 Your remedy. If we break a promise in this section, your only remedy is the commission you would have earned on the orders affected. We will credit it once we confirm those orders, which you may raise under §6.5. Section 21 applies to everything else.
10. Your content, and responsibility for what you say
In short: you're the author of what you publish, so it's yours to answer for. Our rules, guidance and checks are there to help, but they don't make us responsible for your words.
10.1 Your responsibility. "Your Content" means all content you create, post, publish, stream, send or share, on any channel, public or private, including your personal accounts, that mentions, shows or links to Luvaminos, our products, our brand, or your code or links. You alone are responsible for Your Content and for anything else you say or do in connection with the Program, including:
- its accuracy;
- its legality;
- every claim, statement and impression it creates;
- its disclosures;
- its compliance with this Agreement, the Content Rules and platform rules.
10.2 You speak for yourself, on every channel. This section and §11 apply on every channel you use, including your personal accounts, private groups, group chats, Discord servers, direct messages, emails and comments, whether or not your code or link appears there. As between you and Luvaminos, Your Content and your statements are your own opinions. They are not made, authorised, adopted or endorsed by Luvaminos, and Luvaminos is not responsible or liable to you for anything you say or publish, including any statement about our products that we did not publish ourselves. Section 24 of our Terms of Service tells our customers the same.
10.3 Our help does not make us responsible. We give partners Content Rules. We may check content, ask for changes or removal, and reverse orders or end participation for breaches. We do not approve Your Content before it is published. None of the following is approval of what you say, makes us responsible for it, or creates a duty to you:
- checking or not checking any content;
- asking or not asking for a change;
- any guidance we give;
- any approval of a promotion method under §13.1(c) or (h).
10.4 When we ask for a change. You will do both of the following:
- (a) send us links to all live content that mentions us, your code or your links within 48 hours of our request;
- (b) edit or remove any content we identify, and confirm you have done so, within 24 hours of our request if we tell you it breaches §11.1(a) to (f), and within 48 hours otherwise.
If a platform, regulator, court or payment partner requires it, you will act sooner. Content you do not fix in time may be a serious breach under §22.7.
10.5 Complaints, inquiries and records. You will:
- (a) tell us within 24 hours if a regulator, platform, payment company, lawyer or anyone else contacts you, complains, or threatens action about content that mentions Luvaminos, our products, your code or your links;
- (b) not respond on our behalf;
- (c) keep copies of Your Content, including captions and disclosures, for 2 years after posting;
- (d) not delete content that is the subject of a complaint or claim we have told you about, except to comply with §10.4, and then only after saving a copy;
- (e) cooperate with our reasonable requests in any inquiry, claim or dispute about Your Content.
10.6 Checks and records. We may look at, record and keep copies of any content, page, account or channel where you mention Luvaminos, your code or your links. Within 7 days after we ask, you will show us how visitors and orders reached us through you, including the pages, posts, traffic sources and any paid placements involved. Until you do, we may hold payouts under §22.2. Our checks are for our own protection and do not change §10.3.
11. Content standards
In short: our products are for laboratory research use only, not for use in humans or animals. So whenever you present Luvaminos, on any channel, please make no claims about what products do, give no instructions, share no personal stories, and keep everything honest. Honest reviews and your own independent test results are welcome with a disclosure. The detailed list, with examples, is in your dashboard.
11.0 What our products are for, and where this section applies. Our products are for laboratory research use only. They are not for use in humans or animals. Section 3 of our Terms of Service says this in full. Never say, show or suggest anything different about them. This section covers how you present Luvaminos, our products, your code and your links, wherever that appears and on every channel, including your personal accounts (§10.2). It does not reach the rest of what you publish, such as what you say about other sellers, unless it is presented as being about Luvaminos or our products. What your other channels promote can still be a reason to end your participation (§22.1).
11.1 What never to publish or say. Never publish or say anything that does any of the following, directly or indirectly, in words, images, video, sound, hashtags, emojis or links, by implication or by leaving something out, or by linking to, quoting, embedding or reposting someone else's content that does. This applies in any format, including captions, audio, comments, replies, lives, direct messages and links.
- (a) claims or suggests that any product has any effect on health, on a medical condition, or on any person or animal, or is intended for any such purpose;
- (b) gives or suggests instructions, quantities, schedules or methods relating to any product;
- (c) suggests that any product is for anything other than what Section 3 of our Terms of Service says, including by showing or describing a product being used by or with a person;
- (d) shows or describes before-and-after content, or personal stories or outcomes, in connection with our products;
- (e) compares any product to an approved medicine; names, nicknames or hints at any prescription medicine, by brand or generic name, or any class of medicines, near our products; suggests a product is like, a version of, or a cheaper choice than one; presents Luvaminos as a healthcare provider, medical adviser or dispensing business; or answers anyone's health questions;
- (f) claims government approval or endorsement, absolute safety or purity, scientific proof, or legal status anywhere, or makes any promise about products that Luvaminos has not published;
- (g) makes statements about where products are made or sourced, or about laboratory testing, beyond what Luvaminos publishes on its own site, except your own independent test results published under §11.4. You may link to our published lab reports, but never alter, crop or misleadingly summarise them;
- (h) is a fake or bought review, rating or testimonial, is a review by someone who has not actually bought or received the product, or hides any negative review. Your own honest review, with the disclosure §12.1 requires, is allowed (§11.4);
- (i) makes claims about income or earnings from the Program;
- (j) is false, misleading, exaggerated or not supported by evidence, including invented prices, discounts, deadlines, stock levels or scarcity;
- (k) features, targets, or is designed to appeal to anyone under 21;
- (l) is unlawful, defamatory, hateful, sexually explicit, violent, harassing or infringing, or disparages any competitor with false statements;
- (m) makes promises on our behalf about shipping, refunds, returns, discounts or customer service;
- (n) uses any artificially generated person, voice or likeness presented as real, or anyone's name, image or voice without their permission;
- (o) shows a product with any device or supply used to give a substance to a person or animal, or in a setting that suggests personal use;
- (p) uses words or descriptions that suggest a product is used by or on a person, including the words and descriptions the Content Rules list;
- (q) calls a product by any name other than the name on our site;
- (r) is aimed at people in places we do not ship to, as our site lists them.
11.2 Content Rules. Your dashboard has more detailed Content Rules, with examples, which form part of this Agreement (§1.5). If you are unsure whether something is allowed, leave it out, or ask us first. We are happy to help, but our answer, or our silence, does not change §10.
11.3 Professional titles. If you hold, or have held, a healthcare or similar professional licence, tell us before signing. You will not refer to any such licence, training or title in content that mentions Luvaminos, our products, your code or your links.
11.4 Honest reviews and your own test results. On a channel we approved for you, you may publish your honest review of Luvaminos, good or bad, and the results of independent laboratory testing that you arranged and paid for yourself on products you bought. Each must carry the disclosure §12.1 requires. For test results, name the laboratory and the date, show the result as the laboratory reported it, and do not present it as ours, as a claim about what a product does to any person or animal, or as a claim about purity or quality beyond what the laboratory reported.
12. Disclosure, laws and platforms
In short: whenever you mention us, tell your audience plainly that you earn a commission, for example with "#ad" or "I earn a commission if you use my code". Follow the law and each platform's rules. What a platform does to your account is between you and the platform.
12.1 Disclosure every time. On every page, and in every piece of content or message, that mentions or links to Luvaminos, our products, or your code or links, you must clearly and conspicuously disclose your material connection with Luvaminos. That connection includes commission, discounts and anything else we give you. The disclosure must be:
- (a) on the page or in the content itself, not only on a separate disclosure page, in a profile, or behind a "more" link;
- (b) placed where people will see it before or when they see your code, link or review of us, and not buried in a footer or among hashtags. In video it must be on screen and spoken aloud;
- (c) in plain words your audience will understand, such as "#ad", "Ad", or "I earn a commission if you use my code";
- (d) given on every page, post, video and message that carries your code or link, including pages that list codes for many stores.
Where a platform offers a paid-partnership or branded-content label, you must also turn it on. The label alone may not be enough. Here is what good disclosure looks like on each kind of channel:
- Websites, blogs and newsletters: a plain line, such as "We earn a commission if you buy through our links or use our code", near the top or right next to the code or link;
- Social media posts, short videos and stories: "#ad" or "Ad" at the start of the caption, or a line such as "I earn a commission on my code", plus the platform's paid-partnership label, and on screen in video;
- Longer videos, lives and podcasts: said out loud when you first mention us or your code, and again each time you mention your code in a live, plus a line in the description or show notes;
- Groups, communities, chats and personal messages: in the same post or message as your code or link, for example "I earn a commission if you use my code".
More examples are in the Content Rules.
12.2 Laws. You will comply with every law, regulation and official guide that applies to you and Your Content, including:
- the FTC Act and the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255);
- the FTC's Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 C.F.R. Part 465);
- the CAN-SPAM Act and the Telephone Consumer Protection Act;
- state consumer-protection, advertising, privacy and publicity laws;
- tax laws.
12.3 Platform rules. You will comply with the terms of service, community guidelines, and branded-content and advertising policies of every platform, network, host or service you use to publish or promote, as they change from time to time.
12.4 Platform consequences are yours. Your websites, social media accounts, groups and other channels are yours.
- We are not responsible or liable if any platform removes or limits your content, or restricts, demonetises, suspends or bans your account, or if your followers, reach, income or opportunities decline, whatever the reason and whether or not you followed our guidance.
- You bear any fines, penalties or costs a platform or authority imposes on you.
- We will not count a platform action as a breach by you, or reverse or forfeit anything because of it, if the only reason for the action is content that fully followed this Agreement and the Content Rules.
12.5 Not legal advice. Our examples, guidance and answers are meant to help, but they are not legal advice. You are responsible for getting your own.
13. How you may, and may not, promote
In short: share your code with your own audience honestly, on the channels we approved for you. Please don't use coupon extensions or code-listing sites we haven't approved, bid on our brand, run ads without our OK, spam people, pretend to be us, or game the system. These rules keep the Program fair for every partner and keep our store in good standing.
13.1 Methods that aren't allowed. You will not:
- (a) post, submit or knowingly allow your code or links on any coupon browser extension, or on any coupon, deal, voucher, cashback, rebate, loyalty or discount-aggregator site or app, other than a channel we approved for you (§4.4);
- (b) bid on, buy or use "Luvaminos", "luvamino", our product names (such as "Luv RT"), or any misspelling or variation of them, alone or with words such as code, coupon, discount, promo, deal, review or sale, as keywords in paid search or shopping ads, or in domain names or ad URLs. Your approved channels may use our name in their own content, for example in a page title, a post or a review;
- (c) run any paid advertising, including boosted posts, that mentions or links to Luvaminos, our products, or your code or links, without our prior written approval by email from an owner of Luvaminos LLC, which we may withdraw at any time;
- (d) register or use any domain, social handle, username, page, group, app or email address that contains or imitates our brand or product names (such as
luvaminos,luvaminoor "Luv RT"), or present any account as official; - (e) send unsolicited commercial email, text messages or calls, or bulk or automated direct messages or comments, or use bought, rented or scraped contact lists;
- (f) use bots, fake accounts, bought followers or engagement, click farms, incentivised clicks, pop-ups, cookie stuffing, forced redirects, or any other method that creates artificial visits, orders or attribution;
- (g) offer your audience any cash, rebate, gift, extra discount or other incentive to order, beyond your code's customer discount;
- (h) run giveaways, contests or sweepstakes involving our products or brand without our prior written approval;
- (i) recruit or pay others to promote your code or links, or share them with any sub-affiliate or network;
- (j) resell or distribute products, or place orders on behalf of other people;
- (k) contact or collect information about our customers, or anyone you know to be one, for the purpose of the Program;
- (l) do anything that imitates, impersonates or misrepresents Luvaminos, or that is likely to cause a platform, card network, payment partner or regulator to act against Luvaminos;
- (m) split an order, or use more than one customer account, name, card or address, to earn commission or a discount, or ask anyone else to do so.
Some of these, such as running an ad or a giveaway, or listing your code on a deal site, are fine once we approve them in writing, so just ask.
13.2 Consequences. Orders connected to a method this section does not allow earn nothing and may be reversed (§8). We may also suspend or end your participation (§22) and collect our losses and costs (§8.4, §19).
13.3 Leaked codes. We watch for orders that use your code without a matching visit through your link or from a channel we approved for you. If your code turns up somewhere this Agreement does not allow, we may move you to a new code and stop honouring the old one. Doing so is not, by itself, a finding that you breached this Agreement.
14. Licence to quote your content
In short: we can quote and link to what you publish about us, with credit, free. We won't run ads in your name, make AI versions of anyone, or change what you said.
14.1 Licence to quote. You grant Luvaminos a non-exclusive, royalty-free, fully paid, worldwide licence to quote, link to, show screenshots of and refer to Your Content, including your listing, rating and review of Luvaminos, and any content you send us. It covers content you published while in the Program, including before you signed this version. Under it we may:
- quote it accurately, in full or in part, with credit to you or your channel where practical;
- show it on our website, in email, in organic social posts, in marketing materials and in presentations.
14.2 Your name. You grant Luvaminos the right to use your name, the names and logos of your channels, and your social handles, as they appear in Your Content or as you provided them, to credit and identify what we quote, for as long as §14.4 allows. You waive any claim of violation of privacy, publicity, false light or defamation, and any similar claim, arising from a use this section permits and that complies with §14.7.
14.3 No ads in your name. We will not run ads from or in the name of your channels or your accounts, and we will not ask you for access to them.
14.4 How long it lasts.
- Content made while in the Program: the licence and rights in §14.1 and §14.2 are irrevocable and perpetual for Your Content published or sent to us while you were in the Program.
- Content made after: they do not cover content you publish after your participation ends.
- Always subject to §14.7.
14.5 No payment, no approval. Your commission is full payment for everything in this section. No other fee, royalty, residual, union or guild payment, or usage payment is owed.
- We have no obligation to use Your Content, or to credit you when we do.
- Subject to §14.7, you waive any right to inspect or approve any edit, ad or use.
- To the extent the law allows, you waive, and agree not to assert, any moral rights (such as rights of attribution or integrity) in Your Content.
14.6 Your promises about your content. You promise that:
- (a) you own Your Content or have every right needed to post it and to grant this licence;
- (b) Your Content contains no images, fonts, artwork, trademarks, logos or other material that you do not have the right to use, other than our own marks used under §15;
- (c) every identifiable person in Your Content is 21 or older and has given you written permission for these uses, on the terms of this section, and you will give us copies on request;
- (d) Your Content does not infringe or violate anyone's rights, and you are not bound by any union, agency, management or other agreement that conflicts with this section.
14.7 Limits on our use. We will not:
- (a) use Your Content, your voice or your likeness to make any new image, video or audio of you saying or doing something you did not actually say or do, including by artificial intelligence;
- (b) edit Your Content so it attributes to you a statement you did not make;
- (c) after your participation ends, use your name or likeness in new material that says or suggests you still work with us.
Quoting part of Your Content, resizing a screenshot, and adding a caption, a link or a disclosure label are not changes to what you said.
- (d) Your honest views. If you tell us in writing under §26.7 that Your Content no longer reflects your honest views, we will not start any new use of it more than 14 days after we receive your notice.
- (e) Digital-replica laws. We will comply with any law that applies to digital replicas of a person's voice or likeness, including California Labor Code §927 and New York General Obligations Law §5-302. Nothing in this Agreement grants any right those laws do not allow a contract to grant.
15. Our brand
In short: you're welcome to use our name and the materials we give you, to promote us under this Agreement, while you're active.
15.1 Limited licence. While your account is active, we give you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Luvaminos name, logos and the materials we provide. You may use them only unaltered, and only to promote Luvaminos under this Agreement. All use benefits us, and we own our brand and everything in it.
15.2 Limits. You will not:
- change our marks or materials, or combine them with other marks;
- use them in a way that suggests you are us or our employee, or that we endorse your other activities;
- file for or register any mark, domain or handle containing them.
We may revoke this licence at any time.
15.3 Ideas. We love hearing ideas. If you send us suggestions or feedback, we may use them freely without any obligation to you.
16. Confidentiality, privacy and your information
In short: please keep your deal and our non-public information private. You get no customer data, and you never contact our customers through the Program.
16.1 Confidential information. "Confidential Information" means non-public information about Luvaminos or the Program, including:
- your Deal Terms and any custom terms, where they differ from this Agreement;
- dashboard data, sales, order and visit data;
- unreleased products, prices, promotions and plans;
- the Content Rules and any other materials we mark or describe as confidential.
16.2 Not confidential. Your own code, links and customer discount are not confidential, and you may share them with your audience. Nor is information that becomes public through no fault of yours, or that you already lawfully had.
16.3 Your duty. You will use Confidential Information only for the Program and will not disclose it. You may share it with your own legal and tax advisers who keep it confidential. You may also disclose it where the law requires, after telling us first if the law allows. This duty lasts during the Program and for 2 years after it ends, and for as long as the information remains a trade secret.
16.4 Customer information. We do not give partners customers' personal information. If you receive any, by mistake or otherwise:
- (a) you will not use or share it;
- (b) you will delete it and tell us promptly;
- (c) you will never contact any person because you learned through the Program that they are our customer;
- (d) our customers, their orders and their information belong to Luvaminos. You have no right or interest in any customer, order or future order, except the commission this Agreement gives you;
- (e) you will not try to identify any customer from anything in your dashboard.
You will comply with all privacy laws when collecting information from your own audience.
16.5 Protected reporting. Nothing in this Agreement stops you from any of the following:
- reporting possible legal violations to, or cooperating with, any government agency, regulator or court;
- making any disclosure the law protects;
- discussing your own pay or terms where the law protects that.
Under the Defend Trade Secrets Act (18 U.S.C. § 1833(b)), you are not liable for disclosing a trade secret in confidence to a government official or an attorney, solely to report or investigate a suspected legal violation, or in a sealed court filing.
16.6 Your information. We collect and use the information you give us, and the records in §1.4, to run the Program, pay you, meet legal and tax duties, and enforce this Agreement, as described in our Privacy Policy. We keep signature records while you take part and for at least 7 years afterwards. We may share your information with our payment, identity, sanctions-screening and tax providers, and with authorities where the law requires.
17. Public statements
In short: while you're in the Program and for 12 months after, please don't publish anything false or misleading about us. Honest reviews, good or bad, your own test results, legal reporting and protected speech are always allowed.
17.1 No false statements. During your participation and for 12 months after it ends, you will not make or publish any statement, post or content about Luvaminos, its owners, products, services or Program that is false or misleading.
17.2 What is always allowed. Section 17.1 does not restrict:
- (a) your honest review or assessment of products or services you bought or received, including your own independent test results published under §11.4, or any communication protected by the Consumer Review Fairness Act (15 U.S.C. § 45b);
- (b) truthful statements to any government agency, regulator, court or arbitrator, or statements required by law or legal process;
- (c) the disclosures required by §12;
- (d) discussing this Agreement with your own lawyer or tax adviser;
- (e) any other statement the law does not allow a contract to restrict;
- (f) statements about sexual harassment, sexual assault, discrimination, or any other conduct you reasonably believe is unlawful;
- (g) discussing your own pay or terms where the law protects that.
17.3 Remedy. A breach of §17.1 allows us to end your participation and seek an injunction and our actual damages. It does not, by itself, forfeit any balance.
18. Taxes
In short: your taxes are yours. There is no tax form to join or to get your first payouts. We need a W-9, or a W-8BEN if you are outside the US, before a payout that would bring your total for the year to the 1099 amount ($2,000 for 2026). We ask early, at $1,500, so nothing gets held up. A W-8BEN must be renewed after about three years; a W-9 stays on file.
18.1 Your taxes. You are responsible for all taxes on your commission and anything else you receive under this Agreement, and for reporting them. We do not withhold taxes unless the law requires it.
18.2 Tax information. You do not need a tax form to join, to sign this Agreement or to be paid at first. Before a payout that would bring what we have paid you in a calendar year to the Form 1099 reporting amount or more, you must give us a completed IRS Form W-9 if you are a US person, or a Form W-8BEN (Form W-8BEN-E for a business) if you are not. That amount is $2,000 for payments made in 2026, and the law adjusts it for inflation after that. Once your payouts for the year reach $1,500, we will ask you for the form by email and a note in your dashboard, with a secure link, so that, where we can, a payout is not held up. A Form W-8BEN or W-8BEN-E is valid until the end of the third calendar year after the year you sign it, after which we need a new one before the next payout that requires a form. A Form W-9 stays on file until your details change. We may ask for an updated form or other tax information if the law requires it, and hold payouts until we have it. If the law requires backup withholding or other withholding, we will withhold, and the withheld amount counts as paid to you.
18.3 Reporting. We report payments to tax authorities as the law requires, including on IRS Form 1099.
19. Indemnity
In short: if your content, conduct or breach causes a claim, fine or cost for us, you cover it, including reasonable legal fees. You don't cover claims about our own products or our own mistakes.
We hope this section never matters. It is here because what a partner publishes can land on us, so the partner who published it is the one who covers it.
19.1 You will defend, indemnify and hold harmless Luvaminos LLC and its owners, members, managers, officers, employees, contractors, agents and successors (the "Protected Parties"). This covers all claims, demands, investigations, regulatory or government actions, platform actions, chargebacks, fines, penalties, damages, losses, settlements, judgments, costs and expenses, including reasonable attorneys' and experts' fees, arising out of or related to:
- (a) Your Content, or any statement, claim, promise or representation you make, except to the extent it repeats, unaltered and as we directed, material Luvaminos created or published;
- (b) your breach of this Agreement, including the Content Rules;
- (c) your violation of any law, FTC rule or guide, or platform rule;
- (d) any infringement or violation of any intellectual property, privacy, publicity or other right by Your Content, including music, sounds, images and people appearing in it;
- (e) your negligence, wilful misconduct or fraud;
- (f) any tax you owe on amounts we paid you, and any penalty or interest on it. This does not apply to a claim you bring for wages, benefits or expenses, or where the law does not allow it;
- (g) any unsolicited message you send;
- (h) the acts of anyone you authorise, assist, encourage or pay to promote Luvaminos, your code or your links, as if they were your own;
- (i) content by others that you link to, quote, embed or repost.
19.2 Limits. Your obligation applies only to the extent a claim is caused by a matter listed in §19.1. It does not apply to the extent a claim is caused by:
- (a) the manufacture, quality, labelling or condition of our products;
- (b) our use of Your Content in a way §14 does not permit;
- (c) a Protected Party's own negligence, wilful misconduct or breach of this Agreement.
19.3 How it works. We will tell you about a claim. A delay in telling you only reduces your obligation to the extent the delay harmed you.
- Defence: we may control the defence and settlement of any claim, using lawyers we choose, at your reasonable cost, or require you to defend it with lawyers we approve.
- Settlement: you may not settle any claim that involves us without our written consent.
- Cooperation: you will cooperate fully.
- Refund: if it is later decided that §19 did not cover the claim, we will repay what you paid for its defence.
Our rights under this section are in addition to set-off under §8.4.
20. Disclaimers
In short: the Program, dashboard, links and tracking are provided as they are, without promises.
We work hard to keep the Program, your dashboard and our tracking running well, but we can't promise they will be perfect. The law asks us to say so in a way that stands out:
20.1 THE PROGRAM, THE DASHBOARD, CODES, LINKS, TRACKING, REPORTS, MATERIALS AND OUR WEBSITES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, LUVAMINOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
20.2 WE DO NOT PROMISE THAT:
- THE PROGRAM OR ANY SITE, LINK OR CODE WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE;
- VISITS, ORDERS OR COMMISSIONS WILL BE TRACKED OR CREDITED COMPLETELY OR ACCURATELY;
- YOU WILL EARN ANY AMOUNT.
Products you receive are governed by our Terms of Service, not by this Agreement.
21. Limitation of liability
In short: we're never liable for indirect losses, and our total liability to you is capped. Commission that is payable to you is still paid, and the cap doesn't cover our own wrongdoing.
Like most programs of this kind, we limit what we can owe you if something goes wrong. Commission that is payable to you is always paid (§21.3). Here are the limits, in the form the law asks for:
21.1 NO INDIRECT DAMAGES. TO THE FULLEST EXTENT THE LAW ALLOWS, LUVAMINOS AND THE PROTECTED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, INCOME, BUSINESS OPPORTUNITIES, GOODWILL, DATA, FOLLOWERS, AUDIENCE OR SOCIAL MEDIA ACCOUNTS. THIS APPLIES HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
21.2 CAP. TO THE FULLEST EXTENT THE LAW ALLOWS, THE TOTAL LIABILITY OF LUVAMINOS AND THE PROTECTED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PROGRAM WILL NOT EXCEED THE LESSER OF (A) THE COMMISSIONS PAID TO YOU IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $1,000, BUT NEVER LESS THAN US $100.
21.3 Payable commission. The cap in §21.2 does not reduce our obligation to pay commission that has become payable to you under §6 to §8 and §22. Payment of that commission is your sole remedy for any claim that commission was not paid.
21.4 Basis of the bargain. These limits are a basic part of this Agreement. They apply even if a remedy fails of its essential purpose.
21.5 What is not limited. Sections 21.1 and 21.2 do not limit liability for any of the following:
- fraud, wilful misconduct or gross negligence;
- any use of Your Content, your name or likeness that §14 does not permit;
- anything else the law does not allow to be limited.
22. Suspension, termination, and what happens after
In short: we hope this lasts a long time, but either of us can end it at any time, including if any channel you run promotes using research products in people or animals. When it ends, we pay your cleared balance, whatever the amount, unless it ended for fraud or a serious breach.
22.1 Termination by us. We may suspend or end your participation, or end the whole Program, at any time, for any reason or no reason, with or without notice, and it takes effect immediately. Notice by email or in your dashboard is enough. Pausing or deactivating your code is not, by itself, notice that your participation has ended. We may also end your participation if we believe that you, or any channel you run, promotes using research products in humans or animals, or harms our brand or our standing with a platform, card network or payment partner, even where Luvaminos is not mentioned. Ending your participation for this reason alone is not a serious breach, and §22.5 applies.
22.2 Suspension and investigation. If we suspect fraud or a breach, or a platform, payment partner, card network or authority raises a problem, we may do any of the following:
- pause your code, links and payouts;
- investigate;
- ask you for information.
A pause may last up to 90 days, or longer while a card network, payment partner or authority is still reviewing. During a pause, we still pay amounts that are not connected to what is under review, once §7.2 is otherwise met. When we finish, we either lift the pause or end your participation, and we will tell you which. Pausing your code only stops customers using it. Until we end your participation, you stay in the Program: your dashboard, balances and payout requests continue, except any payout we hold under this section. No interest is owed on any amount we hold under this Agreement.
22.3 Termination by you. You may leave at any time by emailing us under §26.7. Your participation ends when we receive the email. We'd be sorry to see you go.
22.4 When it ends, for any reason:
- (a) your code and links are deactivated, and orders placed after the end date earn nothing;
- (b) orders placed before the end date still complete their hold and remain subject to reversal (§8);
- (c) your licence to our brand ends. Within 7 days you will stop using our marks and remove your code and links from your channels and profiles, and remove other content if we ask;
- (d) any negative balance becomes payable under §8.3.
22.5 Your final balance. Unless your participation ended under §22.6 or §22.7, we pay your final balance whatever the amount, in one payment by the method in your dashboard. That payment comes within 30 days after both of these:
- the last commission from before the end date has cleared its hold;
- any reversal and set-off under §8 has been applied.
The following conditions apply:
- Payout and tax details: §7.2(b) and (d) must be met.
- Signature: commission that accrued under this Agreement is paid only if you signed it.
- No termination to avoid payment: We will not end your participation, or delay ending it, for the purpose of avoiding a payout.
22.6 Fraud. If we reasonably determine that you committed or knowingly took part in fraud, your entire unpaid balance is forfeited, and we may require repayment of commission already paid on the affected orders. Fraud includes fake or self-placed orders, stolen payment methods, code resale, and manipulating attribution.
If a court or arbitrator decides that forfeiting any part of that balance is not enforceable, we may instead keep that part to the extent of our losses, costs and investigation expenses caused by the fraud, and §8.4 applies.
22.7 Serious breach. If your participation ends because of a serious breach:
- (a) commission on orders connected to the serious breach is forfeited, and commission already paid on those orders is an overpayment we may recover under §8.3 and §8.5;
- (b) we may hold the rest of your balance for up to 120 days after the end date, and set off amounts §8.4 allows;
- (c) we then pay any remainder under §22.5, whatever the amount;
- (d) if the serious breach meets (iv), or meets (ii) because a platform, regulator, card network or payment partner took action against Luvaminos, your whole unpaid balance is forfeited as an agreed estimate of our losses, which are hard to measure when a platform, regulator, card network or payment partner acts against us. If a court or arbitrator decides that any part of this forfeit is not enforceable, we may instead keep that part to the extent of our losses and costs caused by the breach, and §8.4 applies.
A "serious breach" is a breach of §3.2, §5, §10.5, §11, §12.1, §13.1, §14.6, §15.2 or §16.4 that meets any one of these:
- (i) you do not fix it within the time in §10.4 after we ask;
- (ii) it leads a platform, regulator, card network or payment partner to act, or to complain in writing, about Luvaminos;
- (iii) it repeats a breach we warned you about in writing;
- (iv) you committed it deliberately.
Commission on orders connected to a serious breach was never earned, because those orders are not Qualifying Orders under §5.1(d).
22.8 Survival. The following survive the end of your participation:
- the last paragraph of §2;
- §1.3 and §1.4;
- §3;
- §5 to §8, including §7.8;
- §9.5 and §9.6;
- §10 to §14, including §10.6, for any content that stays published or that we use under §14;
- §15.2 and §15.3;
- §16 to §26;
- any other provision that by its nature should survive.
22.9 Death or incapacity. If you die, or become legally unable to manage your affairs, your participation ends on the date we learn of it. We will pay any balance §22.5 would pay to your estate or legal representative, once they give us the documents we reasonably ask for. §14 continues.
23. Changes to the Program and this Agreement
In short: the Program will grow and change, and so may its rates and these terms. A cut to your rates, or a change to these terms, applies only to orders placed 30 days or more after we tell you in writing, a raise applies at once, every new version must be signed, and commission already earned is never cut. Store prices and the discount on your code can change like any store price.
23.1 Our right to change. We may change this Program, its rates and these terms, including the Content Rules and your Deal Terms. We tell you in writing, by email to your account address and in your dashboard. Changes apply only going forward. We may also end your participation at once for a breach of this Agreement (§22).
23.2 Rates and terms: 30 days' notice. A cut to your commission rates, or a change to these terms, applies only to orders placed on or after the date in our notice. That date will be at least 30 days after we email it. If you don't like a change, you may leave before then (§22.3).
23.3 Immediate changes. Our prices, products, deal tiers and the discount on your code can change at any time, like any store price. The following may also take effect immediately:
- changes to your code or links (§4.3);
- increases to your Deal Terms;
- changes needed to comply with law, or with a requirement of a platform, card network or payment partner, or to stop fraud or a code shared in breach of §13. A cut to your commission rate still follows §23.2, unless that law or requirement leaves no time, in which case we will tell you as soon as we can.
- changes to the Content Rules, §11 or §12.1 that only make content standards stricter. They apply to content you publish after we post them in your dashboard and email you. For content already published, you have the time in §10.4 to bring it into line, counted from our notice. A change under this item never changes your rates, commission already accrued, or §24.
A change to the customer discount on your code is not a change to your Deal Terms under §23.2, even though it changes the amount commission is calculated on.
23.4 Signing again. When we publish a new version of this Agreement, we ask you to sign it at your next sign-in. Until you do:
- (a) you cannot request payouts of commission accrued under this Agreement;
- (b) your code keeps working, and commission keeps accruing under the new version from its effective date;
- (c) if you have not signed within 30 days, we may end your participation under §22.1.
23.5 Commission already earned is never cut. A change never reduces commission already accrued on orders placed before the change takes effect. Reversals, set-off and forfeiture under §8, §22.6 and §22.7 still apply.
23.6 Changes to §24. A change to §24 takes effect no sooner than 30 days after we email it. It never applies to a claim that arose, or that either of us knew about, before it takes effect.
24. Disputes: informal resolution, arbitration, and waivers
In short: if we ever disagree, we first try to sort it out by email. If that fails, a private arbitrator decides, one-on-one, and we pay the fees. No jury and no class action, except small claims and short holding orders. You can opt out of all of this within 30 days.
We hope we never have a dispute, and most problems are fixed with one email. This section explains what happens if one isn't. It affects your rights, so the law asks us to make parts of it stand out:
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
24.1 Informal resolution first. Before starting arbitration or any court case, the party with the dispute must send the other a written notice describing the dispute and the remedy wanted.
- Where it goes: your notice goes to the email in §26.7; ours goes to your account email.
- Resolution period: both of us must then try in good faith to resolve it for 30 days.
- What it must include: the notice must be personal to you and include your name, account email and signature. A lawyer may help, but may not send one notice for several people.
- Time limits: time limits for bringing the claim are paused during the 30 days.
24.2 BINDING INDIVIDUAL ARBITRATION. EXCEPT AS SET OUT IN §24.5, ANY DISPUTE, CLAIM OR CONTROVERSY BETWEEN YOU AND LUVAMINOS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PROGRAM, YOUR CONTENT OR YOUR RELATIONSHIP WITH US WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR. This includes disputes about the formation, scope, validity or enforceability of this section, which the arbitrator decides, except as stated in §24.4.
Administration and hearings. The American Arbitration Association (AAA) administers the arbitration under its applicable rules, including its Consumer Arbitration Rules if the AAA decides they apply. Hearings take place by video or written submissions, unless the arbitrator decides an in-person hearing is needed. An in-person hearing is held in Bernalillo County, New Mexico, or another place the applicable rules require.
Fees. Whichever AAA rules apply, we pay all AAA filing, administration, case-management and arbitrator fees for an arbitration you start, except the part of your filing fee equal to what a small-claims court in your county would charge to file your claim. An arbitrator who finds a claim frivolous, or brought for an improper purpose, may reallocate fees as the applicable rules allow.
Backup provider. If the AAA declines or is unable to administer the arbitration, JAMS will administer it under its rules for the same kind of dispute, on the same fee terms. If neither will, the dispute proceeds in court under §25 on an individual basis.
Law and awards. The Federal Arbitration Act governs this section. The arbitrator may award any individual remedy a court could, and a judgment on the award may be entered in any court with jurisdiction.
24.3 JURY TRIAL WAIVER. YOU AND LUVAMINOS EACH GIVE UP THE RIGHT TO A TRIAL BY JURY OR IN COURT, EXCEPT AS SET OUT IN §24.5.
24.4 CLASS AND REPRESENTATIVE ACTION WAIVER. YOU AND LUVAMINOS MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.
- The arbitrator may not combine claims of more than one person or preside over any class or representative proceeding, except as §24.6 allows for administration.
- Only a court, and not the arbitrator, may decide whether this §24.4 is valid.
- If a court finds it unenforceable for a particular claim, that claim (and only that claim) proceeds in court under §25, and is paused until any individual arbitration is finished.
24.5 Exceptions. Either party may:
- (a) bring an individual claim in small-claims court, if it qualifies;
- (b) ask a court under §25 for a temporary order to stop ongoing misuse of that party's name, brand, likeness, content or confidential information, or to keep things as they are, until an arbitrator has been appointed and can decide a request for interim relief. Either party may also ask for emergency relief under the administrator's emergency rules. The arbitrator decides every other question, including whether to grant any lasting order.
24.6 Mass filings. If 25 or more similar arbitration demands are filed against us by, or with the help of, the same lawyers or organisation:
- (a) they will be administered in batches under the administrator's mass-arbitration rules, and the administrator may appoint one arbitrator per batch;
- (b) the administrator may first have a small number of those cases (no more than 10, chosen half by each side) decided individually, while the rest wait. What is decided in those cases does not bind anyone else;
- (c) after those cases are decided, the parties will mediate the remaining cases in good faith for up to 60 days before they proceed.
Time limits for bringing every waiting claim are paused throughout. Nothing in this §24.6 changes who pays fees under §24.2.
24.7 30-DAY RIGHT TO OPT OUT. You may opt out of §24.2 (arbitration) by emailing the address in §26.7 within 30 days after you first sign this Agreement. It's your choice, and opting out never affects your standing in the Program.
- Your email must include your name, your account email, and a clear statement that you opt out of arbitration.
- Opting out of §24.2 also opts you out of §24.3 and §24.4, and any dispute then goes to court under §25.
- Opting out does not affect any other part of this Agreement.
- An opt-out you validly sent under earlier Luvaminos affiliate terms continues to apply.
24.8 Time limit. To the extent the law allows, any claim must be brought within 1 year after it arises, or it is permanently barred. Section 6.5 sets a separate deadline for disputing records.
25. Governing law and courts
In short: New Mexico law, New Mexico courts.
This Agreement is governed by the laws of the State of New Mexico and applicable federal law, without regard to conflict-of-law rules. For any matter not arbitrated, you and Luvaminos submit to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico, and waive any objection to that venue.
26. General
In short: this is the whole deal. It replaces earlier deals but keeps the rights you already gave us, we can agree custom terms with you in writing, and we can move it to a new owner. The rest is standard legal housekeeping.
26.1 Entire agreement; prior terms replaced. This Agreement, including the Content Rules, your Deal Terms and any custom terms under §26.13, is the entire agreement between you and Luvaminos about the Program.
You are not relying on any statement, promise or forecast that is not in this Agreement, including anything said about how much you might earn. You decided to join on your own judgement.
When you sign it, it replaces and supersedes all earlier affiliate, referral or creator terms, agreements, offers, emails, messages and promises, whether written or spoken. That includes every earlier version of the Luvaminos affiliate terms, and any lifetime or recurring rate, milestone bonus, recruit override, store-credit option or free-sample programme.
No statement by anyone changes this Agreement unless it is in writing and approved by email from an owner of Luvaminos LLC.
This does not end or narrow any licence, release, consent, waiver, indemnity or authorisation you gave Luvaminos under earlier terms. Each continues on its own terms for the content and conduct it covered. An arbitration opt-out you validly sent under earlier Luvaminos affiliate terms continues to apply.
26.2 Relationship to other terms. When you buy from us, you do so as a customer, under our Terms of Service and Privacy Policy. For the Program, if this Agreement conflicts with the Terms of Service, this Agreement controls. For any dispute that involves both the Program and a purchase, §24 of this Agreement governs.
26.3 Assignment. We may assign or transfer this Agreement, in whole or in part, without your consent, including in a merger, sale or reorganisation. You may not assign, transfer or delegate it, and any attempt to do so is void. A change in who owns or controls your business, or a sale or transfer of a channel we approved under §4.4, counts as a transfer by you. Please tell us before it happens. We may end your participation when it does, and §22.5 applies.
26.4 Severability and reformation. If any part of this Agreement is found invalid or unenforceable, that part will be enforced to the maximum extent allowed and changed only as much as needed to make it enforceable, and the rest stays in full effect. This does not apply to §24.4, which is governed by its own terms.
26.5 No waiver. Our failure or delay in enforcing any part of this Agreement is not a waiver. A waiver counts only if it is in writing.
26.6 Force majeure. We are not responsible for any delay or failure caused by events beyond our reasonable control. These include outages at banks, payment services, blockchain networks, payment partners, platforms, carriers or hosting providers, acts of government, labour disputes, natural events and emergencies.
26.7 Notices. We send notices to your account email or post them in your dashboard, and they are effective when sent or posted. If an email we send you bounces, we will also post the notice in your dashboard.
You send notices to support@luvaminos.com, with the subject line "Partner legal notice". This covers leaving the Program, disputes, arbitration opt-outs and notices under §14.7(d). A notice to that address without that subject line still counts once we actually receive it. Notices of arbitration may also be mailed to Luvaminos LLC, 1209 Mountain Road PL NE STE R, Albuquerque, NM 87110.
26.8 Interpretation. "Including" means "including without limitation". Headings and In short lines are for convenience only and have no legal effect. This Agreement will not be read against either party because it drafted it. A reference to a law includes that law as amended.
26.9 Contact. Questions about the Program, or anything in this Agreement: support@luvaminos.com. We're glad to help.
26.10 State freelance-worker laws. An applicable law may give you a right to particular written contract terms, to payment by a particular time, or to payment of an amount this Agreement would otherwise forfeit or hold. That law controls to the extent it applies, and we will comply with it.
26.11 Relief other than money. A breach of §13, §15 or §16 may cause harm that money cannot fully repair. For those breaches the arbitrator, or a court acting under §24.5(b), may order you to stop or to act, to the extent the law allows.
26.12 Language. This Agreement is in English. Any translation is for convenience only.
26.13 Custom terms. Partners differ, so we may agree different terms with a particular partner, such as a different rate, an extra approved channel or method, or a paid placement. Custom terms must be in writing, and an email from an owner of Luvaminos LLC counts. They apply only to the partner they were agreed with, and they win over this Agreement only where they say so. Everything else in this Agreement still applies, and a custom term never reduces commission already earned (§23.5).
End of Agreement.
